SECTION 3.3 GOVERNS ALL COMMUNICATIONS YOU ARE CONSENTING TO WITH BIZPATH (AS DEFINED BELOW) AND ITS ADVERTISERS, EXHIBITORS, AND SPONSORS BY REGISTERING FOR THE EVENT. BY REGISTERING, YOU AGREE THAT BIZPATH (AND ITS ADVERTISERS, EXHIBITORS, AND SPONSORS) MAY COMMUNICATE WITH YOU AT THE PHONE NUMBERS THAT YOU PROVIDED IN YOUR REGISTRATION USING AN AUTOMATED TELEPHONE DIALING SYSTEM OR USING AN ARTIFICIAL OR PRERECORDED VOICE OR THROUGH TEXT MESSAGES TO YOUR MOBILE AND/OR LANDLINE DEVICE. YOU ALSO AGREE AND UNDERSTAND THAT CONSENT IS NOT A CONDITION OF PURCHASE.
BizPath offers free access to all events, aligning with its mission to connect entrepreneurs with strategic opportunities in South Florida.
PLEASE CAREFULLY REVIEW THE BELOW. THESE GENERAL WEBSITE USER AND ATTENDEE TERMS AND CONDITIONS (THIS “AGREEMENT”) LIMIT CERTAIN OF YOUR RIGHTS, INCLUDING THE RIGHT TO MAINTAIN A COURT ACTION, THE RIGHT TO A JURY TRIAL, THE RIGHT TO PARTICIPATE IN ANY FORM OF CLASS OR REPRESENTATIVE CLAIM, THE RIGHT TO ENGAGE IN DISCOVERY EXCEPT AS PROVIDED IN ARBITRATION RULES, AND THE RIGHT TO CERTAIN REMEDIES AND FORMS OF RELIEF. OTHER RIGHTS THAT YOU OR BIZPATH WOULD HAVE IN COURT ALSO MAY NOT BE AVAILABLE IN ARBITRATION. THIS AGREEMENT ALSO GOVERNS THE RIGHTS OF BIZPATH (AS DEFINED BELOW) AND ITS EMPLOYEES, AGENTS, REPRESENTATIVES, AND LICENSEES TO CALL, TEXT MESSAGE, AND EMAIL YOU ON BEHALF OF BIZPATH, BIZPATH’S ADVERTISER, AND OTHER THIRD PARTIES (See Section 3.3 below).
Welcome to www.bizpath.us (the “Website”), operated by BizPath LLC, a Florida limited liability company (“BizPath”, “we”, “our”, or “us”). The Website enables anonymous visitors to the Website (“Visitors”) to learn more about us and our BizPath events (each, an “Event” and collectively, the “Events”), and Visitors who affirmatively indicate their agreement to abide by this Agreement using a click-through consent (where made available) to register for an Event or Events as attendees (“Attendees”). The terms “you”, “your”, and “yours” when used herein refer to either Attendees or Visitors or both
Attendees and Visitors collectively, as applicable from the context of the sentence, and in the case of doubt refer to both Attendees and Visitors. This Agreement outlines the terms and conditions governing your use of the Website and your attendance at each Event. For clarity, each “Event” as defined herein refers collectively to, and includes, all activities being promoted by BizPath in connection with any particular Event.
- THIS AGREEMENT
1.1 Acceptance
Please read this Agreement carefully before accessing the Website. To use the Website, you must first agree to the provisions of this Agreement.
By accessing any web page of the Website (other than this Agreement), Visitors indicate that they have read and agree to be bound by the terms and conditions outlined in this Agreement. You are not authorized to register for our Event(s) or use our Website if you do not agree with this Agreement.
Attendees indicate their agreement to this Agreement either as visitors, by clicking through consent, or by signing electronically (where such option is made available by BizPath), or otherwise upon commencing use of the Website and/or submitting a registration for the Event.
You also may be able to register for Events from other third-party sites (such as via Facebook, Eventbrite, etc.), and you will indicate your agreement to this Agreement when completing such registration and by registering.
By becoming an Attendee, you represent and warrant that you are at least eighteen (18) years of age and not a minor in your state of residence, and that, if you are executing this Agreement on behalf of an entity or any other person, you have been duly authorized to so act by such entity or such person.
Please keep in mind that you are not authorized to use the Website if: (a) You are not of legal age or otherwise do not have the legal capacity to form a binding contract with BizPath, or
(b) You are a person barred from using the Website, either:
(i) under the laws of the jurisdiction in which you reside or otherwise from which you are attempting to access the Website, or
(ii) due to prior violations of this Agreement.
If you do not agree to be bound by this Agreement, you are not authorized to use the Website.
If we ask Attendees to indicate their acknowledgement of this Agreement and their adherence to its provisions more than one time and in more than one manner, such repeated request and/or multiple execution of this Agreement is intended for the sake of good practice only and in no way derogates from the validity of any prior acknowledgment or execution.
1.2 Modification
BizPath reserves the right to modify this Agreement at any time. You agree to review this Agreement periodically to be aware of all such modifications.
We will indicate that changes to this Agreement have been made by updating the date indicated after “Last Updated” at the beginning of this Agreement.
You agree that your continued use of the Website after a modified version of this Agreement has been posted to the Website shall be deemed to be your conclusive acceptance of any modified version of this Agreement.
If you do not agree to abide by the initial version and each modified version of this Agreement, you are not authorized to use the Website.
A current version of this Agreement is accessible via the footer of the Website’s homepage.
- REGISTRATION
2.1 Attendee Registration
Attendees can register for Events online using the service provided by our third-party registration provider, Eventbrite, Inc. (“EventBrite”) or on-site at the respective venue on the day of an Event or via certain other third-party sites (such as Facebook).
However, please note that all registrations for an Event are space permitting and processed on a first-come, first-served basis.
If you register online, each Attendee will receive a confirmation email with a QR code to facilitate check-in. Attendees agree not to allow any third party to use their registration credentials to access the Website or participate in Events.
Attendees are responsible for safeguarding the information used to access the Website and must notify BizPath immediately in the event of any unauthorized use of their registration details.
No badge, pass, or credential issued for admittance to an Event may be sold or otherwise transferred by an Attendee.
You will need to check in with us before each Event in our Registration Area. We will provide your badge upon arrival, along with a lanyard or clip for display.
Please print and bring your Eventbrite confirmation with the QR Code for quick and expedited check-in.
2.2 Multiple Registrations
The representative of an Attendee may register on behalf of more than one person (whether another individual or an entity), provided that:
(a) The person effectuating such a registration has first secured the authorization required to execute this Agreement on behalf of the person being registered, (b) The person effectuating such a registration otherwise can agree to this Agreement on behalf of such person, and
(c) A different email address is used for each person registering.
You represent and warrant to us that by registering on behalf of any Attendee, you have been fully authorized to act on behalf of such Attendee and to enter into this Agreement on their behalf, and that you will be jointly liable with such Attendee for any breach of this Agreement.
2.3 Accurate Information
You must provide us with accurate, complete, and current information during registration and in response to any written request (including those made by email) that we may send.
You shall update all such information provided to us as soon as it changes.
Failure to provide accurate and up-to-date information may result in the cancellation of your registration or denial of access to future Events.
2.4 Disabling or Revocation of Registration
BizPath reserves the right to cancel your registration to an Event and/or deny your access to future Events at any time, for any reason determined by us in our sole discretion, including but not limited to if we believe you have violated this Agreement.
If we revoke your access, you may be prevented from accessing certain pages of the Website or participating in Events.
BizPath retains the right to delete any files, materials, or data associated with your registration or account.
2.5 No Transfer
Your registration to an Event and/or your right to attend or participate is non-transferable.
You are strictly prohibited from transferring any badges, passes, or credentials used for gaining admittance to an Event.
Any attempt to transfer your registration or Event credentials may result in immediate revocation of access and removal from the Event.
- SMALL BUSINESS EXPO.
3.1 About the Events
The Events are business networking events that bring together small business owners, entrepreneurs, and local leaders from various industries across South Florida. Our Events are designed to create opportunities for meaningful connections, strategic partnerships, and peer-to-peer learning.
We do not offer formal educational classes or workshops. Instead, we focus on structured environments where attendees can engage in valuable conversations, meet potential collaborators, and discover new ways to grow their businesses.
Aside from premium registration options (if applicable), all Attendees will have access to the same core activities offered at the Event on a first-come, first-served basis, subject to space availability.
3.2 Dress Code
The dress code for all BizPath Events is business casual.
3.3 SMS & MMS Text Messages; Robo Calls; Email Blasts; Mail; Other Contacts
You agree that by submitting your personally identifiable information to us (“PII”) that you consent to receive communications from us by automated technology about us, our advertisers, sponsors, and partners, this Event and/or future Events, including without limitation using telephone calls or text messages using any automatic telephone dialing system(s), artificial voice(s), pre-recorded call(s), and/or pre-recorded voice(s) (in each case to your mobile, home and/or office phone numbers), email blasts and otherwise by postal mail.
You also agree that by submitting your PII to us, you authorize BizPath or third parties with whom we share your data to contact you for advertising, marketing, reminders, and other commercial purposes before, during, or after the Event.
Without limiting the foregoing, you acknowledge and agree that:
(a) We may share or transfer our attendee list to certain third-party sponsors or exhibitors who provide services relevant to small businesses, and such third parties may contact you to promote their products or services, including via automated telephone calls or text messages using any automatic telephone dialing system(s),
artificial voice(s), pre-recorded call(s), and/or pre-recorded voice(s) (in each case to your mobile, home and/or office phone numbers), email blasts, and postal mail.
(b) Once such a transfer has been made, we no longer control how third parties use or retain your information. If you wish for such third parties to stop contacting you, you must contact them directly to request removal from their lists.
You further acknowledge and agree that by submitting your PII to us, you are providing BizPath and its partners prior express written consent to receive automated text messages and calls using any automatic telephone dialing system(s), artificial voice(s), pre-recorded call(s), and/or pre-recorded voice(s), regardless of whether your telephone number is listed on any state or national do not call registry.
You may opt out at any time by replying “Stop” to any text message received or by sending an email to info@bizpath.com requesting to be removed from our communications list. You must include your full name, telephone number(s), and email address(es) in any opt-out request submitted via email.
You understand and agree that your consent to receive these communications is not a condition of purchase or attendance at any Event. BizPath always offers free access to its events as part of our commitment to supporting small business growth in South Florida.
3.4 Recording of the Event; Grant of Rights to Use Name, Image, and Likeness
BizPath may photograph, videotape, or otherwise record the Events for promotional purposes. By attending an Event, you acknowledge and agree that BizPath is granted the exclusive, perpetual, worldwide, irrevocable, royalty-free right and permission to use, distribute, publish, exhibit, digitize, broadcast, display, reproduce, and otherwise use your name, image, likeness, voice, and/or biography (or any materials you bring or display at the Event) in any manner or media whatsoever, whether now known or hereafter developed.
This includes use for advertising, marketing, or trade in promoting and publicizing BizPath Events, services, or future events, whether derived from such footage or provided directly by you or any third party.
You understand and agree that this authorization applies regardless of how the content is used or distributed, and that BizPath has no obligation to use any such material or to compensate you if it does.
3.5 Event Traffic
Waiting lines to register for an Event or otherwise enter the venue may be long due to high attendance. You can facilitate your admittance by registering online in advance via the Website and bringing your confirmation with a QR code.
Please note that prior registration does not guarantee expedited entry, as check-in is dependent on space availability and the time required to process each attendee.
We work hard to ensure smooth access for everyone, but due to the number of participants, you may experience delays before being admitted to the Event.
3.6 Badges
All BizPath Events are free to attend. However, we offer optional registration tiers that provide enhanced experiences, such as preferred seating during panel discussions, early access to networking areas, and recognition in our post-event communications.

If you wish to upgrade your badge after purchasing a lower-tier option, you must first complete the payment for the new tier. Afterward, you may request a credit for your previous purchase.

3.7 Data Sharing at Events
BizPath may collect and display certain personally identifiable information (“PII”) provided by Attendees during registration, such as First Name, Last Name, Email Address, Phone Number, Company Name, Industry, and Job Title. This information is shared with other Attendees and partners of BizPath to facilitate business connections at our events.
Your PII will be available to other attendees and exhibitors only in the context of the Event, and will be used solely for professional networking purposes. You agree that BizPath, along with other Attendees and partners, may use your contact information
(excluding any payment or financial data) for legitimate commercial purposes related to business development, including marketing and promotions.
You further acknowledge and agree that your participation in BizPath Events constitutes prior express written consent to share your PII with other Attendees and partners, regardless of whether your telephone number is listed on any state or national do-not-call list.
All Attendees are expected to treat this information responsibly and in compliance with applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act.
BizPath assumes no responsibility for how third parties use or retain your personally identifiable information (PII) once it is shared. If you wish to stop receiving communications from third parties, you must contact them directly to request removal from their lists.
3.8 VIP Networking Opportunities
At select BizPath Events, we may offer special access to exclusive networking opportunities based on registration level. These may include early entry, private meet-and-greets, or reserved spaces for strategic conversations.
Participation in these activities is subject to availability and is offered at the sole discretion of BizPath. There is no guarantee of inclusion unless explicitly stated at the time of registration.
You agree to act respectfully and professionally at all times during these networking opportunities. BizPath reserves the right to revoke access to any attendee who disrupts the event or fails to follow the guidelines set forth by our team.
3.9 Email Blasts
BizPath may, from time to time, offer Attendees the opportunity to be featured in a pre-event or post-event email communication sent to our community of entrepreneurs and business professionals in South Florida.
If available, this email may include basic information such as your name, business name, industry, and contact details, to help other attendees connect with you before or after the event.
To be included in such an email blast, you must opt in during registration and meet any deadlines communicated on the registration page. If the deadline is missed, BizPath shall not be liable for any omission, and we will not offer a refund or an additional opportunity to participate in another email blast.
BizPath reserves the right to modify, cancel, or limit this feature at any time without prior notice.
3.10 Job Interviews
This section does not apply to BizPath Events.
BizPath does not offer or facilitate job interviews at our events.
3.11 Entrepreneurial Pitch Opportunities
This section does not apply to BizPath Events.
BizPath does not organize or sponsor pitch panels, competitions, or casting opportunities related to television shows such as “Shark Tank” or similar programs.
3.12 Hotels and Accommodations
This section does not apply to BizPath Events.
BizPath does not provide or promote hotel accommodations for attendees.
3.13 Recording of the Event; Grant of Rights to Use Name, Image, and Likeness
BizPath may photograph, videotape, or otherwise record the Events for promotional purposes. By attending an Event, you acknowledge and agree that BizPath is granted the exclusive, perpetual, worldwide, irrevocable, royalty-free right and permission to use, distribute, publish, exhibit, digitize, broadcast, display, reproduce, and otherwise use your name, image, likeness, voice, and/or biography (or any materials you bring or display at the Event) in any manner or media whatsoever, whether now known or hereafter developed.

3.14 No Promotion by Attendees
Only registered exhibitors or official sponsors are permitted to promote products or services at BizPath events. As an attendee, you may not engage in unsolicited promotion or marketing of your own business during any event or related activity.
Violation of this rule may result in removal from the event and potential exclusion from future BizPath events.
We appreciate your cooperation in advance. To promote your business directly at a BizPath event, you must register as an exhibitor or sponsor.
3.15 Third-Party Statements and Activities
Each BizPath Event provides opportunities for exhibitors and other third parties to share their insights, opinions, and offerings with attendees. However, BizPath does not endorse or guarantee:
- The accuracy of statements made by exhibitors, speakers, or other individuals. ● The reliability of the products or services promoted by third parties. ● Any actions taken by such third parties during or after the event.
You understand and agree that BizPath is not liable for any act or omission by an exhibitor, sponsor, speaker, or other person at or in connection with any BizPath Event.
BizPath is not responsible for any claims, advice, or representations made by third parties, whether during an event or through our website.
3.16 Referral Opportunities
From time to time, BizPath may offer referral programs or similar initiatives designed to encourage attendees to invite peers to participate in our events.
The terms of these programs are subject to change or cancellation at any time without prior notice. Participation is subject to availability and governed by the current program rules.
BizPath reserves the right to disqualify any individual who:
- Violates this Agreement,
- Fails to comply with additional program-specific terms,
- Or breaks any applicable law or regulation.
Any information collected through referrals will be considered a BizPath asset and subject to the same privacy and data handling policies outlined in our Privacy Policy.
3.17 BizPath Educational Resources
BizPath may provide educational resources on our website, including articles, guides, and commentary posted by us or third-party contributors.
These materials are intended for informational and educational purposes only and should not be interpreted as legal, financial, tax, or business advice.
You should always consult with a licensed professional before making decisions based on content obtained from our site or events.
Content published on the BizPath website may contain errors or become outdated. We do not make any warranties — express or implied — regarding the accuracy, completeness, or suitability of the information provided.
All links or references to third-party websites are shared for informational purposes only and do not imply endorsement or affiliation with BizPath.
3.18 BizPath Educational Resources
This section does not apply to BizPath Events.
BizPath does not operate or provide access to an online educational platform or webinar series for small business development.
3.19 Sweepstakes and Promotional Contests
BizPath may occasionally run promotional contests or giveaways at our Events or through our Website. Your participation in any such contest is subject to the official rules posted at the Event or on the Website related to that specific promotion.
These rules will govern eligibility, entry methods, deadlines, and prize details. BizPath reserves the right to disqualify any participant who violates these terms or applicable laws.
BizPath is not responsible for sweepstakes or contests organized independently by third parties or exhibitors at our Events. Participation in such activities is at your own risk and subject to the terms set by the organizer.
3.20 Recognition Opportunities
BizPath may occasionally offer recognition opportunities to highlight outstanding contributions by local entrepreneurs or businesses within the South Florida community.
Participation in such programs is voluntary and governed by the specific terms published at the time of the program’s launch. BizPath does not guarantee review of all submissions and may reject entries if any rule violations are identified.
Entrants are fully responsible for ensuring the accuracy of all information submitted. BizPath assumes no liability for any content provided as part of such recognition programs.
Winners, if applicable, are selected based on criteria defined in the program rules, which may include public voting. Please note that entrants with larger networks or social media followings may statistically have a higher chance of receiving votes.
BizPath reserves the right to modify, suspend, or cancel any recognition program at any time without prior notice.
3.21 Special Requests
Any special requests made by you, including, without limitation, a request for assistance with accommodations at an Event (such as interpreters for deaf individuals or support
for visually impaired individuals), must be submitted in writing to BizPath at least ten (10) business days before the Event.
We will make reasonable efforts to accommodate such requests based on availability and feasibility; however, please note that BizPath cannot guarantee the fulfillment of any special request.
Suppose you require specific arrangements to fully participate in an Event due to a disability or other condition. In that case, we encourage you to contact us early to allow adequate time for coordination.

- COMMERCIAL TRANSACTIONS
4.1 Purchases
BizPath may offer optional registration tiers or access levels for certain events, which may include enhanced experiences such as preferred seating, early admittance, or recognition in post-event communications.
Suppose you wish to participate in these opportunities. In that case, you may be asked by BizPath or an authorized third party to provide certain personally identifiable information (“PII”), including, without limitation, your full name, address, and telephone number.
You agree to provide accurate, complete, and current information at all times. You shall be responsible for all charges incurred through your registration or otherwise made by you or on your behalf.
Please note that any fees indicated for event participation are set by BizPath and may differ from those charged by third-party platforms used for registration, such as Eventbrite.
4.2 Payment
Your right to access any paid tier of a BizPath Event is contingent upon your payment in full of the applicable fees indicated for such access (collectively, the “Fees”). Each
applicable portion of the Fees must be paid in full at the time of purchase or otherwise as directed in writing by BizPath.
Payment may be made via Visa, MasterCard, Discover, or American Express credit cards. If you select our free admission option, you will be registered as an Attendee at no cost. No Fee will be applied if any payment cannot be processed successfully or is reversed for any reason (including chargebacks or declined payments). BizPath reserves the right to suspend or cancel your registration and/or deny access to future Events until the matter is resolved.
4.3 No Refunds; All Sales are Final; Waiver of Claims
Except as expressly stated in this Agreement, once a paid registration has been completed, no refunds are available. All sales are final.
In no event will any portion of the Fees paid by you be returned or applied as credit toward future BizPath Events.
BizPath reserves the right to cancel your registration at any time if we believe you have violated this Agreement or acted inappropriately during or before an Event.
If your registration is canceled for any of the reasons described above, you will not receive a refund of any Fees paid.
However, BizPath cancels an Event for reasons not attributable to attendees or third parties. In that case, BizPath shall issue a refund of all Fees collected, less a processing fee of twenty percent (20%) of the total amount paid.
BizPath assumes no responsibility for any delays, damages, losses, increased costs, or other unfavorable conditions arising from rescheduling or cancellation of an Event, and you hereby irrevocably waive all claims related to such circumstances.
4.4 Taxes
You shall be responsible for obtaining all licenses, permits, and approvals under local, state, or federal law that may apply to your participation in BizPath Events or any related activity. You are also responsible for obtaining all tax identification numbers and paying all applicable taxes, license fees, and other charges due to any governmental authority or third party in connection with your attendance at any Event or use of the Website.
BizPath does not provide legal, financial, or tax advice. If you are purchasing a paid registration tier or participating in any sponsored activity, it is your responsibility to understand and comply with all relevant tax obligations.
- NO ENDORSEMENT OR AFFILIATION; RELEASE
BizPath is not affiliated with and does not endorse any third party, business, or the products or services offered by any individual, sponsor, or organization referenced on the Website or presented at a BizPath Event. BizPath does not guarantee the accuracy, validity, effectiveness, or suitability of any such products or services.
By attending any BizPath Event or using the Website, you hereby release BizPath and its members, directors, officers, agents, representatives, employees, and other personnel (collectively, the “BizPath Parties”) from any claims, demands, damages (actual and consequential), and other liabilities of every kind and nature, known or unknown, arising out of or in any way related to, directly or indirectly:
(a) Any act or omission by BizPath, an attendee, speaker, or any other person in connection with or related to the Website or your participation in any Event, (b) Any products or services discussed or shared by a third party during an Event or via the Website,
(c) Any dispute between you and another attendee, speaker, or third party in connection with or related to your use of the Website or your participation in any Event.
Your participation in BizPath Events and your use of the Website are done entirely at your own risk.
- INTELLECTUAL PROPERTY
6.1 Proprietary Rights
The Website contains various content protected by copyright, trademark, and other intellectual property laws of the United States and other jurisdictions.
As between you and BizPath:
(a) All right, title, and interest — including, without limitation, all copyright, trademark, patent, trade secret, and other intellectual property rights — in and to the Website and its Content are exclusively owned by BizPath.
(b) You are granted no rights in or to the Website other than the limited usage rights expressly described in this Agreement.
Except for content that is in the public domain or for which you have received express written permission from BizPath, you may not sell, copy, reproduce, republish, upload, display, post, transmit, distribute, modify, publicly perform, create derivative works based on, or otherwise use any Content for public or commercial purposes without prior written consent from BizPath.
BizPath reserves all rights not expressly granted in this Agreement.
6.2 Copyright Agent (DMCA Notice)
Under the Digital Millennium Copyright Act of 1998 (“DMCA”), copyright owners have recourse against unauthorized use of their work online.
If you believe your copyrighted work has been copied and posted on the BizPath website in a way that constitutes copyright infringement, please provide our DMCA agent with the following information:
(a) An electronic or physical signature of the copyright owner or an authorized representative.
(b) A clear description of the copyrighted work you claim has been infringed. (c) A description of the specific location on the BizPath website where the infringing material appears.
(d) Your address, telephone number, and email address.
(e) A written statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
(f) A statement made under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Please note that notices that do not comply with the DMCA requirements may not be considered valid and will not be treated as evidence of actual knowledge by BizPath of alleged infringement.

All trademarks appearing on the BizPath website are the property of their respective owners. BizPath is not affiliated with, sponsored by, or endorsed by any third-party trademark owner whose trademark appears on the Website (unless otherwise expressly stated).
As used in this Agreement, the term “Trademarks” means all service names, graphics, designs, logos, page headers, button icons, scripts, commercial markings, and trade dress that appear on the Website or at any BizPath Event and that identify the source of goods or services.
These Trademarks are protected under U.S. and international trademark laws. You may not use, copy, reproduce, republish, distribute, or modify any Trademark in any way without the prior written consent of BizPath or the applicable third-party owner.
In no event may any Trademark be used in a manner likely to cause confusion, damage the reputation of the mark or its owner, or disparage or discredit BizPath or any of our Events.
- REPRESENTATIONS, WARRANTIES, AND COVENANTS
Further to any other representation or warranty made by you in this Agreement, you additionally represent and warrant that:
(a) You have all rights, power, and the full legal authority to enter into this Agreement and any additional applicable agreements with BizPath, either on your behalf or on behalf of your employer (if applicable).
(b) You have read this Agreement and agree to strictly comply with all its provisions and any additional applicable terms posted on the Website or otherwise communicated to you by BizPath via phone, email, or during an Event.
(c) You have carefully reviewed the Privacy Policy and understand our data collection, use, storage, and transfer protocols as described in that document. (d) You will not use any Content other than as expressly permitted in this Agreement. (f) You grant BizPath the right to use your name, image, or likeness in connection with the filming or recording of any Event for promotional purposes.
(g) You have the full right to grant all rights being granted to BizPath under this Agreement.
(h) This Agreement is enforceable against you by its provisions.
- LICENSE
You agree not to use, copy, reproduce, distribute, publish, display, perform, modify, create derivative works of, transmit, retransmit, sell, broadcast, circulate, display, or otherwise exploit any Content (including without limitation any copyrighted material,
trademarks, or other proprietary information), in whole or in part, whether by email or any other means, for any purpose other than your personal, non-commercial use — and always in a manner that does not disparage BizPath or compete with us or any of our Events.
However, you may print one (1) copy of such Content for your personal, non-commercial use only, provided that:
(i) You keep intact all copyright, trademark, and other proprietary notices appearing therein.
(ii) You use such materials only in the manner permitted by this Agreement.
BizPath retains all rights not expressly granted herein. Unauthorized use of any Content is strictly prohibited.

The BizPath website may provide links to other websites (“Linked Sites”) for informational purposes only.
None of the Linked Sites are under the control of BizPath, and BizPath is not responsible for:
(a) The content, advertising, services, products, or other materials appearing on any Linked Site
(b) Any changes, updates, or availability of Linked Sites
(c) Any transmission received from a Linked Site, including without limitation viruses, malware, or similar content
(d) Any transaction you may execute using a Linked Site or any relationship you may develop with its operator or owner
BizPath provides links solely as a convenience to users. The inclusion of any link does not imply endorsement by BizPath of the site or its operators, owners, products, or services, nor does it imply endorsement of BizPath by the owner of any Linked Site.
BizPath is not liable, directly or indirectly, for any damage or loss caused or alleged to be caused by your use of or reliance on any content, advertising, services, products, or other materials available on or through any Linked Site.
Your activity on any Linked Site shall be governed by the policies and procedures of the operator or owner of such site, and not by this Agreement or our Privacy Policy.
- DISCLAIMER OF WARRANTIES
NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, YOU EXPRESSLY ACKNOWLEDGE AND AGREE TO EACH OF THE PROVISIONS OUTLINED IN THIS SECTION 10 AND SECTION 11.
10.1 Your Sole Risk
Your use of the BizPath website and your attendance at any Event are at your sole risk.
The Website and each Event are provided “as-is”, “where-is”, and “as available”. No advice or information — whether oral or written — obtained by you through the Website and/or at any BizPath Event shall create any warranty not expressly stated in this Agreement.
None of the BizPath Parties assumes any responsibility (nor shall be liable) for your attendance at any Event or your use of the Website, including without limitation any content, materials, or services accessed through either. None of the BizPath Parties makes any promises, guarantees, predictions of success, or claims to special
experience, insight, or expertise in connection with the Website or any Event.
10.2 No Reliance on Information or Interactions
Without limiting the foregoing, no information obtained from BizPath or any third party through the Website or at any Event — whether provided orally or in writing — shall create any express or implied representation or warranty that:
(a) Your attendance at such Event, your use of the Website, or reliance on any such information will meet your requirements or otherwise be successful. (b) Your attendance at any Event or your use of the Website will be uninterrupted, timely, secure, or free from errors or omissions.
(c) Such information will be accurate, reliable, complete, or current. (d) Defects in the operation of any Event or functionality of the Website will be corrected or updated.
(e) Descriptions of products or services referenced during an Event or via the Website will be accurate or correct.
(f) Any BizPath Party is liable for any loss or damage whatsoever that may directly or indirectly result from or be related to your attendance at any Event or your use of the Website.
Specifically, any third parties with whom you interact through the Website or at any BizPath Event do so exclusively on their behalf, and BizPath shall not be held responsible for any liability arising out of or related to your interaction with them or any other person encountered through the Website or Events.
10.3 YOUR SOLE LIABILITY; RELEASE
None of the bizpath parties shall have any liability, obligation or responsibility to you or any other person for any loss, damage, or adverse consequence alleged to have happened or which has happened, directly or indirectly, through your use of the website and/or your attendance at any event (or otherwise in connection with any event). Specifically, each of the Bizpath parties disclaims any implied warranties of title, non-infringement, merchantability, and fitness for any particular purpose in connection with your use of the website and/or your attendance at any event. As between you and
the Bizpath parties, you are solely responsible for any damages, losses, liabilities, or negative consequences resulting from or related to your use of the website and/or your attendance at any event. You further hereby expressly release each of the Bizpath parties from any claims arising out of or related to your use of the website and/or your attendance at any event.

In no event shall any of the Bizpath parties be liable for lost profits or any special, incidental, indirect, consequential, or punitive damages arising out of or related to the website and/or any event, whether or not Bizpath has been advised of the possibility of such damages.

the goods and/or services which directly give rise to such a claim, if applicable, or (b) one thousand dollars ($1,000).
11.3 exceptions
The limitations on the liability of all of the Bizpath parties in this section 11 shall apply whether or not any of the Bizpath parties has been advised of or should have been aware of the possibility of any liability, losses, or damages arising in connection with or related to the website and/or any event. Some jurisdictions do not permit the exclusion of certain warranties or the limitation or exclusion of liability for special, incidental, indirect, consequential, or punitive damages. Accordingly, some of the above limitations in section 10 or this section 11 may not apply to you.

Notwithstanding anything to the contrary in this agreement, you hereby agree to indemnify, defend and hold each of the bizpath parties harmless from and against any claims, demands, actions, losses, expenses, damages (actual and consequential, direct and indirect) and liabilities of every kind and nature, and all related costs and expenses thereof (including without limitation reasonable attorneys’ fees and disbursements), arising out or related to:
(a) any breach by you (or any person acting on your behalf) of any representation, warranty, or covenant made by you (or obligation undertaken by you) in this agreement or in any further agreement executed by you with Bizpath (if applicable), (b) any act or omission by you (or any person acting on your behalf), (c) your use of the website and/or your attendance at any event,
(d) your negligence or misconduct, or
(e) Your violation of any law, regulation, or rule.
If any Bizpath party invokes your indemnification obligations under this section 12, such Bizpath party shall endeavor to cooperate with you reasonably. It shall at all times have the right fully to participate in such Bizpath party’s defense with such bizpath party’s counsel at its own expense. You shall not enter into any settlement that imposes any liability or obligation on any of the Bizpath parties or that contains any admission or acknowledgment of wrongdoing (whether in tort or otherwise) without each such Bizpath party’s prior written consent.

Your participation, correspondence or business dealings with any third party found on or through the bizpath website or resulting from any introduction or other contact made at any bizpath event, including but not limited to payment and delivery of goods and/or services, and any other terms, conditions, representations or warranties associated with such dealings, are solely between you and such third party.
You agree that none of the Bizpath parties shall be liable or responsible for any loss, damage, or other matter incurred as a result of or related to such dealings.

Bizpath views the protection of your privacy as an important responsibility. The terms regulating the handling of your personally identifiable information (“pii”) and other data submitted by you in connection with the website or any event are described in our privacy policy, which can be found at www.bizpath.us/privacy-policy (the “privacy policy”). by using the website or otherwise submitting your pii or other information to us, you consent to the collection, use, and sharing of such information as described in the privacy policy.
- Notices
All notices under this agreement shall be provided by certified mail, postage prepaid and return receipt requested, to: Bizpath LLC, Fort Lauderdale, Florida (specific address available upon request).
Notice shall also be deemed given if sent to you via email or other electronic communication method at the contact information you provided during registration or account creation.
You agree that notice sent via certified mail shall be considered given three (3) days after the date of mailing. Notice sent via email shall be deemed to be given upon receipt.
- Governing law; arbitration; legal fees; no class claims; equitable relief
17.1 Governing Law
This agreement shall be governed and construed by the laws of the state of Florida, excluding Florida’s choice-of-law principles. All claims arising out of or relating to your
use of the website, your attendance at any event, communications between you and bizpath, this agreement, or any other understanding or arrangement between you and bizpath — including without limitation any breach of this agreement — whether sounding in contract, tort, or otherwise, shall likewise be governed by the laws of the state of Florida.
17.2 Arbitration; legal fees; no jury trial; no class claims
Any dispute with you or any person acting on your behalf which arises out of or is related to your use of the website, your attendance at any event, this agreement, or any other understanding or arrangement between you and bizpath — including without limitation any breach of this agreement or any communications between you and bizpath (including, but not limited to, email, telephone calls, and text messages) — shall be finally resolved by binding arbitration administered by a private professional arbitrator and the commercial rules of the american arbitration association.
Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction. You and Bizpath expressly waive any rights to a jury trial about potential claims.
Each party waives any claim of improper venue and any claim that such courts are an inconvenient forum.
17.3 Equitable relief
You agree that it would be impossible or inadequate to measure and calculate Bizpath’s damages from any breach of any of the representations, warranties, or obligations made or undertaken by you in this agreement.
Accordingly, Bizpath shall have the right to obtain immediate injunctive relief enjoining any breach or threatened breach of your obligations under this agreement, without posting a bond or other security.
- Timely filing of claims
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of the website or attendance at any event, or any communications between bizpath and you (including, but not limited to, text messages, calls, or emails), or otherwise this agreement, must be filed by you under
section 17.2 above within one (1) year after such claim or cause of action arose or is claimed to have arisen.
- Assignment
You shall not sell, assign, or otherwise transfer any of your rights or obligations under this agreement without Bizpath’s prior written consent (to be provided or denied in our sole discretion). This agreement may be automatically assigned by BizPath, in our sole discretion, to a third party, and such an assignment shall insure to the benefit of such third party or otherwise to our successors, assigns, and/or licensees.
Without limitation of the foregoing, bizpath may sell, transfer or otherwise share some or all of its assets, including without limitation your personally identifiable information (“pii”), with any parent company, subsidiary, joint venture, or any company under common ownership or control, as well as with a potential acquirer, in connection with a merger, reorganization, or sale of assets, or the event of bankruptcy. In each such case, the PII we have collected from you may be among the assets so transferred.
- Covid waiver
You acknowledge that there is no way for us to fully protect you against exposure and/or infection of coronavirus / COVID-19, including all known and future strains (collectively “covid”), related to your participation in any of our events.
By attending any BizPath event, you acknowledge that you are not currently infected with COVID-19 and that you have taken all recommended precautions before arrival, including following the current guidelines issued by the CDC and local health authorities.
You hereby fully release BizPath from all liability related to any COVID-related claim, including illness, injury, or loss resulting from or related to your attendance at any event.
- Validity; waiver
If any one or more of the provisions contained in this agreement shall, for any reason, be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegalit,y or
unenforceability shall not affect any of the other provisions of this agreement, which shall remain in full force and effect.
In such cases, the agreement shall be interpreted as if the invalid, illegal, or unenforceable provision had never been included. If applicable, it shall be modified to reflect the closest possible intent under the law.
Our failure to act concerning a breach by you or others does not constitute a waiver of our right to act concerning subsequent or similar breaches.
No failure or delay by BizPath in exercising any right or remedy shall operate as a waiver thereof, nor shall any single or partial exercise of any right or remedy preclude any other or further exercise of that or any other right or remedy.

This agreement, along with any additional applicable agreements between you and Bizpath, sets forth the entire understanding and agreement between us concerning the subject matter hereof.
The provisions of this agreement will survive termination or expiration to the extent necessary to carry out the intentions of you and BizPath.
Bizpath reserves the right to modify this agreement at any time. Your continued use of the website or attendance at any event after changes have been posted constitutes acceptance of the revised agreement.
